Business Company 1 (GBC1)
As defined under the Financial
Services Development Act 2001, a GBL1 is a company engaged in qualified
global business and which is carried on from within Mauritius with
persons all of whom are resident outside Mauritius and where business is
conducted in a currency other than the Mauritian rupee.
It is the recommended structure for individuals, body
corporate, trust or partnership including limited liability partnership
or a society for investment and other high profile business. A GBL1 may
be locally incorporated or may be registered as a branch of a foreign
company. Public companies, those engaged in banking, insurance and fund
management, and companies wishing to benefit from the provisions of
Double Taxation Agreements (DTAs), can only be incorporated as GBL1
companies.
Global Business Company 2 (GBC2)
A GB2 is a
company incorporated in Mauritius holding a Category 2 Global Business
Licence and carrying out any business or activity specified in the
Second Schedule of the FSD Act from within Mauritius with persons all of
whom are resident outside Mauritius and which is conducted in a currency
other than Mauritian currency.
The company’s name is
first reserved, the company incorporated through the Registrar of
Companies, and an application made to the FSC for the Category 2 Global
Business Licence. The licence, once issued, will stipulate the
parameters within which the company is to conduct its business.
The GB2 is exempt from taxation in Mauritius (0%) but
as a result it cannot claim double taxation relief under the various
treaties signed by Mauritius
The law also makes provision for the setting up of
trust, protected cell company, captive insurance business and collective
investment scheme.
